Sara Adler represents domestic and foreign clients in a variety of transactions, including mergers, private acquisitions by public companies and securities matters, including compliance with SEC reporting requirements and advising on corporate governance, as well as general corporate and transactional matters.
Ms. Adler has substantial experience in general '34 Act compliance and disclosure issues, including the preparation of proxy statements and periodic reports for public companies; Section 16 filings; preparation of S-8s; corporate governance and stock exchange-compliance matters, including the drafting of corporate charters and codes of conduct; and other general corporate and "in house" work. She also has experience negotiating and drafting purchase agreements, merger agreements, stockholder agreements, employment agreements, ancillary documentation and contract review.
Ms. Adler also monitors and advises on SEC rule-making developments, and has written a variety of related client alerts.
