Executive Compensation

We have broad experience in the area of executive compensation programs for corporations, partnerships, and limited liability companies, both publicly and privately held, and for tax-exempt organizations. Our practice covers the tax, securities law, ERISA, and cross-border aspects of deferred compensation plans, golden parachutes, stock options and other stock-based compensation, and bonus programs. We regularly advise clients on nonqualified deferred compensation (particularly on Section 409A and, in the case of tax-exempt organizations, Section 457(f) requirements), golden parachute issues, and Section 162(m) (the $1 million limit on executive compensation deductions). Together with our Tax practice group, we also counsel executives on the estate planning aspects of executive compensation programs.
