Rory Greiss has extensive experience in the areas of mergers, acquisitions and dispositions of public and private companies, representing both purchasers and sellers in widely diverse industries; leveraged buyout transactions; public and private equity and debt financings; corporate restructurings representing companies in bankruptcy proceedings or in "out-of-court" workout situations; dispute resolution among partners and shareholders in closely held partnerships and corporations.

Recently, Mr. Greiss has handled several major acquisitions for a high-technology company in the high-brightness light-emitting diode, solar, data storage and semiconductor industries; the sale of a specialty finance company providing receivables financing to hospitals, large medical groups and other health care providers; the merger of two nationwide landscape management companies; a significant investment by a major private equity firm in a sports nutrition business; the sale of the assets of a juvenile furniture manufacturer; the sale of several loan portfolios for a major financial institution; the acquisition of an urban not-for-profit hospital; the restructuring of a major health-care provider including the sale of its long-term care and contract rehabilitation business; a US$220 million convertible subordinated note offering and the representation of the audit committees of two separate public companies in connection with an internal investigation into accounting irregularities and alleged wrongdoing claimed in a "whistle-blower" complaint.

Mr. Greiss also regularly represents companies in the entertainment and pharmaceutical industries and has extensive experience in intellectual property acquisitions and licensing agreements. Mr. Greiss' pharmaceutical industry experience includes the settlements of patent infringement litigations and licensing and supply and distribution agreements.

Mr. Greiss is a graduate of the Georgetown University Law Center, where he was Editor of The Tax Lawyer (1978-80).
